Terms of Service

Effective 1 March 2026

These Terms of Service (“Terms”) govern your access to and use of the Spondula mobile application, web platform, and associated services (the “Service”) provided by Spondula Ltd (“Spondula”, “we”, “us”). By creating an account you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old to create an account. Certain features (including sending and receiving payments) may require identity verification and may be restricted to users aged 18 or older depending on your jurisdiction.

2. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials, PIN, and recovery phrase.
  • You must notify us immediately at support@spondula.com if you suspect unauthorised access to your account.
  • One person may hold only one personal account.

3. Non-Custodial Wallet

Spondula provides a non-custodial wallet. You retain sole control of your private keys and recovery phrase. We cannot access, freeze, or recover your wallet. You accept full responsibility for safeguarding your credentials. Loss of your recovery phrase and PIN will result in permanent loss of access to your funds.

4. Supported Assets

The Service supports S-Tokens — digital tokens issued on the Spondula blockchain and pegged to reference fiat currencies. S-Tokens are not legal tender, bank deposits, or securities. See our Token Disclaimer for details.

5. Transactions

  • Transactions submitted to the Spondula blockchain are irreversible. Verify all details before confirming.
  • Transaction fees, if any, are displayed before confirmation.
  • We do not guarantee transaction finality times, though the network typically confirms within seconds.
  • You are solely responsible for ensuring you send assets to the correct recipient address or S Handle.

6. Identity Verification (KYC)

We may require identity verification before enabling certain features or increasing transaction limits. You agree to provide truthful verification documents. Providing false or fraudulent documents will result in account suspension. See our KYC & AML Policy for details.

7. Prohibited Conduct

You agree not to use the Service for any purpose prohibited by our Acceptable Use Policy, including but not limited to fraud, money laundering, terrorism financing, sanctions evasion, or any illegal activity.

8. Intellectual Property

All content, trademarks, logos, and software associated with the Service are owned by Spondula Ltd. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

9. Service Availability

  • We aim to provide 24/7 availability but do not guarantee uninterrupted service.
  • We may perform maintenance, updates, or modifications that temporarily affect availability.
  • We reserve the right to suspend or discontinue the Service (or any feature) with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by law, Spondula shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of funds, data, or profits, arising from your use of the Service. Our total liability for any claim shall not exceed the amount of fees paid by you to Spondula in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Spondula, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the London Court of International Arbitration (LCIA). These Terms are governed by the laws of England and Wales.

13. Account Termination

  • You may delete your account at any time through the app.
  • We may suspend or terminate your account if you violate these Terms, our Acceptable Use Policy, or applicable law.
  • Upon termination, your right to use the Service ceases. On-chain assets remain accessible through your recovery phrase independently of Spondula.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notification or email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
